Als der BGH 2019 für die GmbH und 2022 für die KG entschied, dass 179a AktG nicht entsprechend anzuwenden ist, war das Erstaunen in der Rechtswissenschaft gro . Es entsprach - teils gestützt auf den BGH - zuvor der h. M., dass die aktienrechtliche Norm ein rechtsformübergreifendes Prinzip verkörpere, nach dem ein Gesamtvermögensgeschäft nur mit der Zustimmung des internen Willensbildungsorgans rechtswirksam abgeschlossen werden kann. In der vorliegenden Publikation befasst sich der Autor mit 179a AktG, seiner Analogiefähigkeit und den steuerrechtlichen Folgen eines Gesamtvermögensgeschäfts. Im Mittelpunkt steht dabei die These, dass dem Zivilrecht ein Prinzip des Schutzes der wirtschaftlichen Grundlagen inhärent ist, das sich in 179a AktG konkretisiert.
